Job Title: In-House Counsel

 

Position Summary:

 

The In-house counsel will be a new  addition to Company’s Legal Department with a primary focus on negotiating a wide variety of commercial contracts, including procurement, customer/sales agreements, NDAs and MSAs.  This role will have extensive interaction with internal clients across all business functions. This full-time position is located in Charlotte, North Carolina.  This position reports and works closely with the Deputy General Counsel/Chief Compliance Officer. 

 

Essential Functions & Key Responsibilities:

  • Draft, review, structure, negotiate and provide advise with regard to a broad array commercial and vendor agreements relating to all types of business transactions, including contracts supporting sourcing, manufacturing, logistics, transportation and staffing.
  • Provide legal review, advise and support on a broad range of legal matters including commercial contracting, transactional and general corporate matters. 
  • Assist Deputy General Counsel with initiatives to improve contract review process, including updating of all contract templates and terms and conditions.
  • Advise internal clients on contract interpretation, risk allocation and other legal matters.
  • Handle customer complaints, including customer requests for payment.  Drafting demand letters for payment of outstanding amounts owed pursuant to executed contracts.
  • Provide assistance and guidance to two (2) paralegals and assist in the negotiation, revision, review, comment, and coordination of third-party contracts, consistent with company practice and risk mitigation strategies.
  • Provide support for management and administration of domestic and international entities, preparation of consents, minute meetings and other corporate documents.
  • Provide general corporate legal assistance and guidance to Legal Department and business teams on a wide range of matters, including IP, environmental, human resources, real estate and general compliance matters.
  • Communicate and liaise as necessary with supervising and support of internal and external questions and issues arising from regulatory or audit inquiries.
  • Work cross-functionally across legal, finance, accounting, tax, customs and trade, technology and procurement, both domestically and internationally, to identify risks and assist in the implementation of solutions for the business.
  • Work closely with risk management team to ensure claims are promptly addressed.

 

Candidate Requirements:

  • Attorney with a minimum of 5 years of corporate legal experience in-house and/or with a national law firm, including concentration in commercial transactions.
  • Familiarity with manufacturing and related regulations a plus.
  • Experience interfacing with employees at all levels within the company.
  • Experience with contract databases and vendor management systems.
  • Demonstrated efficiency and flexibility in handling multiple tasks often under tight time constraints in a fast paced and demanding environment.
  • Effective oral and written communication skills.
  • Proven proficiency with computer applications such as Word, Excel, and PowerPoint.
  • Ability to appropriately, and independently, prioritize, organize and coordinate work while showing initiative and sound judgment.
  • Ability to build positive relationships with leadership, peers and others across the company.
  • Demonstrated ability to work well with others and in a small team setting.
  • Ability to analyze and assist with resolution of legal issues or complaints.
  • Must be a self-starter with strong communication skills and ability to work independently and achieve results.
